GEARXYZ 3D Model Licensing Agreement

This Licensing Agreement (the "Agreement") is entered into between GEARXYZ LLC (the 

"Licensor") and the Licensee (hereinafter referred to as "You" or "Your").This Agreement governs the licensing of 3D printing models created by GEARXYZ, divided into Basic Models and Premium Models, collectively referred to as "GEARXYZ Designs".

By downloading or purchasing GEARXYZ designs, You agree to be bound by the terms of this Agreement.

 

 

1. Licensing for Basic Models (CC BY-ND 4.0)

1.1. Allowed Uses

✅ Personal & Commercial Use – You may 3D print and sell physical prints.
✅ Attribution Required – You must credit GEARXYZ as the original creator.
🚫 No Modifications – You may not modify, remix, or alter the model in any way.
🚫 No Redistribution – You may not share, sell, or distribute the digital files.

1.2. Attribution Requirement

  • You must include the following credit in product listings and promotions:
    "This design is licensed under Creative Commons Attribution-NoDerivs 4.0 (CC BY-ND 4.0) by GEARXYZ. Original design available at [Your Website/Platform Link]."

2. Licensing for Premium Models (Subscription-Based)

2.1. Grant of License

GEARXYZ grants You a non-exclusive, revocable, and non-transferable commercial license to sell physical 3D prints of Premium Models, subject to the following conditions:

2.2. Subscription Requirements

  • You must maintain an active commercial subscription to legally sell prints of Premium Models.

  • If your subscription lapses, you must immediately stop selling Premium Models.

2.3. Licensing Terms

✅ Unlimited Prints – No cap on the number of physical prints sold.
✅ Attribution Required – You must credit GEARXYZ as the original creator.
🚫 No Digital Redistribution – You may not share, sell, or distribute the digital files.
🚫 No Modifications – You may not modify or remix the model without written permission.
🚫 No Licensing of Fan Art – Fan art models are not included in commercial licensing.

2.4. Gross Sales Limit for Premium Models

  • Your total gross sales from licensed Premium Model prints must not exceed $10,000 per year without purchasing a Mass Production License.

  • If you exceed this threshold, you must contact GEARXYZ to negotiate additional licensing terms.

  • Failure to disclose and abide by this limit may result in license termination and legal action.

2.5. Attribution for Premium Models

  • You must include the following credit in product listings:
    "This design is licensed from GEARXYZ under a commercial subscription. Original design available at https://www.gearxyz.com/."

 

 

3. Responsibility & Liability

3.1. Print Quality & Safety

  • You are solely responsible for the safety, quality, and durability of your 3D-printed items.

  • GEARXYZ is not liable for any defects, damages, or legal claims resulting from printed models.

3.2. Compliance with Laws

  • You are responsible for ensuring that your 3D-printed products comply with all local laws, regulations, and safety standards.

3.3. Customer Disputes

  • You agree to handle all customer disputes related to sales of 3D-printed items.

  • GEARXYZ will not be responsible for refund requests, product defects, or legal disputes between You and your customers.

3.4. Marketing & Photography

✅ You must use your own photographs of the 3D-printed items for product listings.
🚫 You may not use renders or stock images from GEARXYZ unless explicitly permitted.

 

 

4. Restrictions on Use

4.1. Manufacturing Methods

🚫 3D Printing Only – This license only applies to 3D printing.
🚫 No Mass Manufacturing – You may not use injection molding, CNC machining, or other mass production methods without a separate license.

4.2. Digital File Protection

  • You may not share, resell, or distribute any STL, 3MF, or other digital files.

  • Derivative works are prohibited unless explicit permission is granted by GEARXYZ.

 

 

5. Termination of License

5.1. Basic Models (CC BY-ND 4.0)

  • The license remains in effect as long as you comply with the terms.

5.2. Premium Models (Subscription-Based)

  • Your license remains valid only while your subscription is active.

  • If your subscription ends, you must immediately stop selling Premium Models.

5.3. Violation of Gross Sales Limit

  • If You exceed $10,000 in sales from Premium Model prints without a Mass Production License, your license may be revoked.

 

 

6. General Provisions

6.1. Intellectual Property Rights

  • All intellectual property rights remain with GEARXYZ.

  • This Agreement does not transfer ownership of any designs.

6.2. Entire Agreement

This Agreement constitutes the entire agreement and supersedes all prior discussions or negotiations.

6.3. Governing Law

This Agreement shall be governed by the laws of the State of Colorado, USA.

6.4. Amendments

GEARXYZ reserves the right to modify this Agreement. Continued use of the license constitutes acceptance of any changes.

 

 

7. Mass Production Licensing

If you are interested in mass-producing GEARXYZ designs beyond the $10,000 gross sales limit, please contact GEARXYZ for a custom licensing agreement.
